These Terms of Service ("Terms") govern your access to and use of the BeePOP.ai website located at https://beepop.ai (the "Site") and any related web application, APIs, software, and services (collectively, the "Services"). The Services are operated by Beeintel, a company registered and established in mainland China (referred to as "BeePOP" or "we").

BY USING THE SERVICES, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

1. Who may use the Services

  1. You must be at least 18 years old (or the age of majority where you live) to use the Services.

  2. If you use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" in these Terms includes that organization.

2. Changes to the Services or Terms

  1. We may change, suspend, or discontinue all or part of the Services at any time.

  2. We may update these Terms from time to time. If we make material changes, we will provide notice (for example by posting on the Site or within the product). Your continued use of the Services after the effective date of updated Terms means you accept the updated Terms.

3. Accounts and security

  1. You may need to create an account to use certain features.

  2. You are responsible for:

    • maintaining the confidentiality of your credentials;

    • all activities under your account; and

    • ensuring that the information you provide is accurate and kept up-to-date.

  3. You must notify us promptly at support@beepop.ai if you suspect unauthorized access to your account.

  4. We may suspend or terminate accounts to protect the Services, you, other users, or third parties.

4. The Services (AI-generated content)

  1. The Services may provide AI-assisted image generation and editing features for e-commerce use cases, such as:

    • text-to-image and image-to-image generation;

    • editing tools (e.g., background removal, erase, enhance);

    • templates, presets, and workflows; and

    • storage and management of generated content.

  2. The Services may depend on third-party services (for example, infrastructure, payment processors, or model providers). Availability may vary.

5. Your content (Input, Output, and rights)

5.1 Definitions

  • "Input" means content you upload, submit, or provide to the Services (for example images, prompts, text, brand assets).

  • "Output" means content generated by the Services from your Input.

  • "User Content" includes Input and any Output you store, share, publish, download, or export through the Services.

5.2 Ownership and licenses

  1. As between you and BeePOP, you retain any rights you have in your Input.

  2. As between you and BeePOP, to the extent permitted by applicable law and subject to these Terms, BeePOP assigns to you its rights (if any) in the Output generated for you.

  3. You are responsible for ensuring you have all rights necessary to provide Input and to use Output for your intended purposes (including commercial use).

5.3 License you grant to BeePOP

You grant BeePOP a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, process, and display your Input and Output only as needed to:

  • provide, maintain, and improve the Services;

  • operate, secure, and debug the Services;

  • prevent or address fraud, abuse, or security incidents;

  • comply with legal obligations; and

  • enforce these Terms.

5.4 Content removal

We may remove or restrict access to User Content if we reasonably believe it violates these Terms, the law, or third-party rights.

6. Acceptable use and prohibited activities

You agree not to, and not to allow others to, use the Services to:

  1. violate any applicable law or regulation;

  2. infringe, misappropriate, or otherwise violate intellectual property, privacy, publicity, or other rights;

  3. upload, generate, or share content that is illegal, defamatory, harassing, hateful, sexually exploitative, or otherwise harmful;

  4. create or distribute content that facilitates wrongdoing (including scams, fraud, or illegal goods/services);

  5. attempt to probe, scan, or test the vulnerability of the Services, bypass security measures, or access non-public areas;

  6. upload malware or use the Services to distribute harmful code;

  7. reverse engineer, decompile, or otherwise attempt to discover source code or underlying components, except to the extent prohibited by law;

  8. scrape, harvest, or collect data from the Services at scale without our prior written permission;

  9. use the Services to build, train, or improve competing models or services using Outputs or the Services (including model extraction), except where we expressly permit it in writing;

  10. interfere with or disrupt the Services, including circumventing usage limits or protections.

We may investigate and take any action we deem appropriate (including suspension or termination) if we believe you have violated this section.

7. Plans, billing, credits, and taxes

7.1 Paid plans and fees

Some features require payment (for example subscriptions and/or usage-based charges). Pricing and plan details are provided at purchase and/or within the Services.

7.2 Credits (if applicable)

If the Services use credits or similar units:

  • credits may be required to generate or export content;

  • credit amounts, expiration rules, rollover, and refundability (if any) will be described at purchase and/or in-product;

  • credits have no cash value and are not transferable except as expressly permitted.

7.3 Recurring billing and renewals (if applicable)

If you purchase a subscription:

  • you authorize us (and our payment processors) to charge your payment method;

  • subscriptions may renew automatically until you cancel; and

  • cancellation takes effect as described at purchase and/or in-product.

7.4 Taxes

You are responsible for all applicable taxes, duties, or similar governmental assessments unless we are required to collect them.

8. Third-party services and links

The Services may integrate with or link to third-party services. Your use of third-party services is governed by their terms and policies. BeePOP is not responsible for third-party services.

9. Privacy

Our collection and use of personal information is described in our Privacy Policy: Privacy Policy .

10. Feedback

If you provide suggestions, ideas, or feedback, you grant BeePOP the right to use them without restriction or compensation.

11. Termination

  1. You may stop using the Services at any time.

  2. We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe:

    • you violated these Terms;

    • your use poses risk or harm to BeePOP, other users, or third parties; or

    • we are required to do so by law.

  3. Upon termination, your right to use the Services will cease.

  4. Sections that by their nature should survive termination will survive (including sections on content licenses, disclaimers, limitation of liability, dispute resolution, and general terms).

12. Disclaimers (important)

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  1. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE".

  2. BEEPOP DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  3. AI SYSTEMS MAY PRODUCE INACCURATE, INCOMPLETE, OR UNEXPECTED RESULTS. YOU ARE RESPONSIBLE FOR REVIEWING OUTPUTS BEFORE USE, INCLUDING FOR ACCURACY, RIGHTS CLEARANCE, AND COMPLIANCE WITH LAWS AND PLATFORM POLICIES (E.G., AMAZON, SHOPIFY, META, GOOGLE).

  4. WE DO NOT WARRANT THAT OUTPUTS WILL BE UNIQUE, ERROR-FREE, OR NON-INFRINGING.

13. Limitation of liability (important)

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  1. BEEPOP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

  2. BEEPOP'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO BEEPOP FOR THE SERVICES IN THE 6 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US$50 IF YOU HAVE NOT PAID ANYTHING, WHICHEVER IS GREATER.

  3. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify and hold harmless BeePOP and its affiliates, and each of their officers, directors, employees, and agents, from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  1. your access to or use of the Services;

  2. your User Content;

  3. your violation of these Terms; or

  4. your violation of any rights of another.

15. Dispute resolution and governing law

15.1 Governing law

These Terms are governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles.

15.2 Informal resolution

Before filing a formal claim, you agree to try to resolve the dispute by contacting us at support@beepop.ai.

15.3 Courts or arbitration (choose one)

Any dispute arising from or in connection with these Terms shall be submitted to the People's Court with jurisdiction over the location of Beeintel for litigation.

17. Miscellaneous

  1. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

  2. You may not assign these Terms without our prior written consent, except as part of a merger, acquisition, or sale of substantially all assets.

  3. We may assign these Terms as part of a merger, acquisition, corporate reorganization, or sale of assets.

  4. These Terms constitute the entire agreement between you and BeePOP regarding the Services and supersede any prior agreements on this subject.
