Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you" or "your") and Beeintel Inc. ("Beeintel," "we," "us," or "our"), the company behind BeePOP AI. They govern your access to and use of BeePOP AI, the website at beepop.ai, and all related websites, applications, features, and services (collectively, the "Services").

By creating an account, clicking to accept these Terms, or accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and accounts

You must be at least 13 years old and meet the minimum age required to consent to data processing in your country. If you are under the age of majority where you live, you may use the Services only with the permission and supervision of a parent or legal guardian who agrees to these Terms.

You are responsible for providing accurate account information, keeping your login credentials secure, and all activity under your account. Do not share your account or allow another person to use it except as expressly permitted by a team or business plan. Notify us promptly if you believe your account has been compromised.

If you use the Services for an organization, you represent that you have authority to bind that organization, and "you" includes the organization.

2. The Services

BeePOP AI provides tools that may generate, edit, transform, store, and display images and related content using artificial intelligence and machine-learning systems. Features, models, limits, storage, and availability may vary by plan and may change over time.

We may add, modify, suspend, or discontinue any part of the Services. We may also impose reasonable limits on use, storage, generation, or access to protect the Services and users. We do not guarantee that the Services will be available, uninterrupted, secure, or error-free, or that a particular feature or model will remain available.

3. Your Content

"Input" means text, images, files, prompts, and other content you submit to the Services. "Output" means content generated or returned by the Services in response to an Input. Input and Output, together with other material you submit or create through the Services, are collectively "Content."

You are responsible for your Content. You represent and warrant that:

• you own or have all rights, licenses, permissions, and lawful bases needed to submit, process, edit, generate, and share your Content;
• your Content and your use of the Services do not infringe, misappropriate, or violate any person’s intellectual-property, privacy, publicity, confidentiality, contractual, or other rights;
• you have obtained any consent required from people depicted in uploaded or generated material; and
• your Content and your use of the Services comply with applicable laws and these Terms.

4. Content rights and license to Beeintel

As between you and Beeintel, and to the extent permitted by applicable law, you retain the rights you have in your Input and Output. Beeintel does not claim ownership of Output solely because it was generated through the Services. However, applicable law may not grant copyright or other exclusive rights in purely AI-generated material, and Output may not be unique. Similar or identical Output may be generated for other users. You are responsible for determining whether and how you may use or commercialize Content, including obtaining legal advice where appropriate.

You grant Beeintel and its service providers a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, modify, adapt, and otherwise process your Content as reasonably necessary to provide, maintain, secure, support, troubleshoot, and improve the Services; prevent fraud and abuse; enforce these Terms; and comply with law. This license does not give Beeintel permission to sell your Content as an asset. The specific use of personal information and Content is also described in our Privacy Policy.

If you use a public, shared, community, or social feature, you understand that the Content you make available through that feature may be viewed, copied, remixed, or otherwise used by other users according to the feature's functionality. Do not make Content public if you need it to remain confidential.

5. Prohibited uses

You may not use the Services to:

• break the law, facilitate wrongdoing, or evade sanctions or regulatory requirements;
• infringe or violate another person's intellectual-property, privacy, publicity, confidentiality, or other rights;
• create or distribute malware, phishing content, scams, or content intended to deceive or cause harm;
• create non-consensual intimate imagery, sexual content involving minors, or content that exploits or endangers children;
• impersonate a person or organization for fraud, harassment, or unlawful deception, or create misleading political or civic content in a way that violates applicable law;
• threaten, harass, stalk, discriminate against, or encourage violence toward others;
• upload personal data or images of another person without the permissions required by law;
• reverse engineer, decompile, scrape, probe, or attempt to discover the source code, models, weights, prompts, or security controls of the Services, except to the extent this restriction is prohibited by law;
• use bots, scripts, or automated means to access or generate through the Services unless Beeintel has expressly authorized that use;
• bypass usage limits, content safeguards, access controls, or payment requirements;
• resell, sublicense, lease, or provide access to the Services as a standalone service;
• use the Services or Output to develop, train, benchmark, or offer a competing product, model, or service without our prior written permission; or
• use Output as the sole basis for decisions about a person's eligibility for employment, credit, housing, education, insurance, healthcare, legal services, or other high-impact decisions.

We may remove Content, limit generation, or suspend or terminate access when we reasonably believe that Content or use violates these Terms, applicable law, or the safety or security of the Services.

6. AI-generated content and user review

AI systems can produce inaccurate, incomplete, biased, offensive, or unexpected results. Output may appear realistic, may contain errors, and may resemble existing works or real people. Beeintel does not guarantee that Output is accurate, original, non-infringing, suitable for a particular purpose, or safe to publish or use commercially.

You must review Output before relying on, publishing, distributing, or commercializing it. Do not use the Services or Output as a substitute for professional advice. You are solely responsible for your decisions and for the consequences of your use of Content.

7. Paid plans, credits, and billing

The Services may include free features, paid subscriptions, usage-based purchases, or usage credits. The applicable price, billing cycle, limits, and included features are shown at checkout or in your account.

You authorize Beeintel or its payment provider to charge the payment method you provide for the applicable fees, taxes, and recurring charges. Subscriptions may automatically renew until canceled. Cancel before the next renewal date to avoid the next charge. You are responsible for keeping billing information current and for all applicable taxes other than taxes on Beeintel's net income.

Fees are non-refundable except where required by applicable law or expressly stated otherwise in writing by Beeintel. This includes payments for subscriptions, usage credits, generation allowances, and other digital purchases. We do not provide refunds or credits for unused time, unused credits, unused generations, change of mind, dissatisfaction with the Services or Output, account closure, or account suspension or termination for a violation of these Terms. Our Refund Policy describes the limited legal and billing-error exceptions.

8. Intellectual property

The Services, including our software, models, systems, interfaces, designs, trademarks, logos, documentation, and all related technology, are owned by Beeintel or its licensors and are protected by applicable intellectual-property laws. Except for the limited right to use the Services under these Terms, no rights are granted to you by implication or otherwise.

If you provide suggestions, ideas, bug reports, or other feedback, you grant Beeintel a perpetual, worldwide, irrevocable, royalty-free, sublicensable, and transferable license to use and exploit that feedback for any lawful purpose without compensation or attribution.

9. Third-party services

The Services may rely on or link to third-party products, models, hosting, payment providers, authentication providers, or other services. Third parties may impose their own terms and privacy policies. Beeintel is not responsible for third-party services that it does not control, and third-party failures may affect the Services.

10. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. By using the Services, you acknowledge that your information will be handled as described in that Policy.

11. Suspension and termination

You may stop using the Services and close your account at any time. We may suspend, restrict, or terminate your access if we reasonably believe you violated these Terms, created risk or potential legal exposure, engaged in fraud or abuse, failed to pay, or threatened the security or integrity of the Services. We may also discontinue the Services or an entire plan.

We may delete or disable access to Content after termination, subject to our legal, security, backup, and operational retention practices. Sections that by their nature should survive termination will survive, including sections concerning Content licenses, intellectual property, disclaimers, liability limits, indemnity, and dispute terms.

Unless required by applicable law, termination, suspension, or discontinuation of a Service or plan does not create a right to a refund for prepaid fees, unused time, unused credits, or unused generations.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. BEEINTEL DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND THAT THE SERVICES WILL BE SECURE, UNINTERRUPTED, OR ERROR-FREE.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you. Nothing in these Terms excludes or limits rights or remedies that cannot legally be excluded or limited.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEEINTEL AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEEINTEL'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BEEINTEL FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US$100.00.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Beeintel and its affiliates, licensors, service providers, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your Content, your use of the Services, your violation of these Terms, or your violation of another person's rights.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. To the extent a dispute is not subject to mandatory arbitration or another mandatory forum under applicable law, the state and federal courts located in Delaware will have exclusive jurisdiction, and you and Beeintel consent to that jurisdiction and venue.

Nothing in this section limits rights that cannot be waived under the law that applies to you.

16. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms and revise the "Last updated" date. If a change materially affects your rights or obligations, we will provide additional notice where required by law. Your continued use of the Services after the updated Terms take effect means that you accept them. If you do not agree to updated Terms, stop using the Services.

17. General terms

These Terms, together with the policies and documents expressly incorporated by reference, are the entire agreement between you and Beeintel concerning the Services. If any provision is held invalid or unenforceable, the remaining provisions will remain in effect. Beeintel's failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; Beeintel may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
